Who must appoint an auditor

  • Every company incorporated under the Companies Act, 2013, including private limited companies and one person companies, without any turnover threshold
  • A newly incorporated company, through its board, within 30 days of incorporation
  • Any company where a casual vacancy has arisen through resignation, death or disqualification of the auditor

LLPs do not file ADT-1. An LLP appoints an auditor only where its turnover exceeds Rs 40 lakh or its contribution exceeds Rs 25 lakh, and the appointment is not notified in ADT-1.

The process, step by step in Kolkata

Step 1. Identify an eligible auditor

The proposed auditor must be a practising chartered accountant or firm, and must not attract any disqualification under Section 141.

Step 2. Obtain consent and eligibility certificate

Written consent and the Section 141 certificate are obtained before the board meets. Filing without these is a common cause of objection.

Step 3. Board resolution

The board passes a resolution appointing the auditor. For a first auditor this must happen within 30 days of incorporation.

Step 4. Issue the intimation letter

The company formally intimates the appointment to the auditor.

Step 5. File ADT-1

ADT-1 is filed within 15 days of the appointing meeting and routed to ROC Kolkata-I / Kolkata-II. The filing is made by the company, not the auditor.

Step 6. Registrar acknowledgement

ROC Kolkata-I / Kolkata-II records the appointment against your file. Any deficiency is raised as a resubmission against this office.
